Terms of Service

1. Acceptance of these Terms

By creating an account, accessing, or using the AlphaBotix Trading website, application, APIs, bots, dashboards, or related services (collectively, the “Service”), you agree to be bound by these Terms of Service (the “Terms”) and our Privacy Policy. If you do not agree, do not use the Service.

You represent that you are at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into these Terms.

2. Nature of the Service

AlphaBotix Trading provides software tools that can help you view market data, configure automated trading strategies (“bots”), and transmit instructions to third-party brokerage or exchange accounts that you connect (including Alpaca, OKX, and similar providers).

  • We are not a broker-dealer, exchange, investment adviser, commodity trading advisor, bank, or money transmitter.
  • We do not hold your funds or securities. Capital remains with your chosen broker/exchange under their separate agreements.
  • We do not guarantee execution, pricing, uptime, latency, fill quality, or strategy performance.
  • “Paper” mode is for simulation/education. “Live” mode may place real orders with real money once you enable it and supply valid credentials.

3. Account registration & security

You agree to provide accurate registration information, safeguard your password, and notify us promptly of unauthorized access. You are responsible for all activity under your account. We may require email verification before certain features (including Live trading) are available.

You must not share accounts, attempt to bypass security controls, scrape the Service abusively, reverse engineer the Service (except to the extent permitted by law), or use the Service for unlawful activity (including market manipulation, sanctions evasion, or fraud).

4. Broker credentials & third-party services

If you connect broker or exchange API keys, you authorize the Service to use those credentials to retrieve account data and submit orders according to your bot and account settings. You are solely responsible for:

  • the accuracy and permissions of keys you provide;
  • complying with your broker’s terms, risk disclosures, and applicable law;
  • monitoring positions, balances, margin, settlement, and buying power;
  • revoking keys if you stop using the Service.

Third-party outages, rejected orders, partial fills, market halts, corporate actions, network failures, and similar events are outside our control. Features such as stop-losses, take-profits, trailing stops, and capital rotation may not trigger or may execute differently than expected.

5. Live trading eligibility

Live trading may be restricted until you (a) verify your email address, and (b) save valid Live-mode broker credentials for your active exchange. Enabling Live mode constitutes your acknowledgment that bots may place irreversible live orders.

6. No advice; no fiduciary relationship

Content, signals, charts, news summaries, pattern labels, AI outputs, and bot configurations are informational and educational only. We do not recommend any security, crypto asset, or strategy. No fiduciary, advisory, or agency relationship is created by your use of the Service.

7. Fees

Use of the Service may be free, freemium, or paid as we communicate from time to time. Brokerage commissions, exchange fees, spreads, and financing charges are charged by your broker/exchange, not by us (unless separately disclosed).

8. Advertising

The Service may display third-party advertising, including Google AdSense. Ads are provided by third parties and may use cookies or similar technologies as described in our Privacy Policy. We are not responsible for advertiser content or destinations.

9. Intellectual property

The Service, including software, branding, UI, and documentation, is owned by the Company or its licensors and is protected by intellectual property laws. You receive a limited, revocable, non-exclusive, non-transferable license to use the Service for your personal or internal business purposes in accordance with these Terms.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, TRADING OPPORTUNITY, OR CAPITAL, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted.

12. Indemnification

You agree to defend, indemnify, and hold harmless the Company and its affiliates from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) your trading activity or broker accounts; (c) your content or API keys; (d) your violation of these Terms or applicable law; or (e) disputes with third parties (including brokers, exchanges, and other users).

13. Suspension & termination

We may suspend or terminate access to the Service at any time, with or without notice, for any reason, including suspected abuse, legal risk, or non-payment. You may stop using the Service at any time and should revoke broker API keys when you leave.

14. Governing law & disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles, unless mandatory consumer protections in your place of residence provide otherwise. Exclusive venue for disputes shall be the state or federal courts located in Delaware, except where prohibited. You and we waive jury trial to the extent permitted by law. Informal resolution: before filing a claim, you agree to contact us and attempt good-faith resolution for 30 days.

15. Changes

We may update these Terms from time to time. Material changes will be indicated by updating the “Last updated” date and, where appropriate, additional notice. Continued use after changes become effective constitutes acceptance.

16. Miscellaneous

These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service. If any provision is unenforceable, the remainder remains in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
